AGREEMENT TO OUR LEGAL TERMS

We are Vortra LLC ("Company," "we," "us," "our"), a company registered in Arizona, United States at 4539 N 22nd St, Phoenix, AZ 85016.

We operate the mobile application Vortra (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Vortra is a professional drone operations platform for FAA Part 107 licensed commercial drone pilots. The app provides airspace intelligence, flight logging, fleet maintenance tracking, job marketplace with escrow payments, AI-powered fleet analysis, and FAA compliance tools — all in one mobile app for Android and iOS.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Vortra LLC, concerning your access to and use of the Services. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes. The modified Legal Terms will become effective upon posting or notifying you by support@vortraapp.com.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.), so if your interactions would be subjected to such laws, you may not use the Services.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws in the United States and around the world.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your personal, non-commercial use or internal business purpose.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

5. PURCHASES AND PAYMENT

We accept the following forms of payment: Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay.

All payments shall be in US dollars. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

6. SUBSCRIPTIONS

Billing and Renewal: Your subscription will continue and automatically renew unless canceled. The length of your billing cycle will depend on the type of subscription plan you choose.

Cancellation: All purchases are non-refundable. You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at support@vortraapp.com.

Fee Changes: We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

7. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to: systematically retrieve data to create a collection or database; trick, defraud, or mislead us or other users; circumvent or interfere with security-related features; disparage or harm us or the Services; use the Services in a manner inconsistent with any applicable laws or regulations; sell or otherwise transfer your profile.

8. USER GENERATED CONTRIBUTIONS

The Services may invite you to submit or post content including job listings, flight logs, inspection reports, photos, and other materials ("Contributions"). Contributions may be viewable by other users. When you create Contributions, you represent and warrant that your Contributions are not false, inaccurate, or misleading; do not violate any applicable law; do not violate the privacy or publicity rights of any third party; and do not include offensive or discriminatory content.

9. CONTRIBUTION LICENSE

By posting Contributions, you grant us a license to use, copy, reproduce, distribute, and display such Contributions. You retain full ownership of your Contributions and any intellectual property rights associated with them. We are not liable for any statements or representations in your Contributions.

10. MOBILE APPLICATION LICENSE

If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you. You shall not: decompile or reverse engineer the App; make modifications to the App; use the App for any revenue-generating endeavor for which it is not intended; or use the App to send unsolicited commercial email.

Apple and Android Devices: The following terms apply when you use the App obtained from either the Apple App Store or Google Play. The license granted to you is limited to a non-transferable license to use the App on devices that utilize the applicable operating system. We are responsible for providing maintenance and support services for the App as specified in these Legal Terms.

11. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to other websites. Such third-party websites are not investigated, monitored, or checked for accuracy by us. We are not responsible for any third-party websites accessed through the Services. If you decide to leave the Services and access third-party websites, you do so at your own risk.

12. SERVICES MANAGEMENT

We reserve the right to: monitor the Services for violations of these Legal Terms; take appropriate legal action against anyone who violates these Legal Terms; refuse, restrict, or disable access to the Services; and remove excessive or burdensome content from the Services.

13. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy at https://vortraapp.com/privacy. By using the Services, you agree to be bound by our Privacy Policy.

14. COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us using the contact information provided below.

15. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON WITHOUT LIMITATION. If we terminate or suspend your account, you are prohibited from registering a new account under your name or a fake name.

16. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time at our sole discretion without notice. We are not liable for any modification, price change, suspension, or discontinuance of the Services.

17. GOVERNING LAW

These Legal Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

18. DISPUTE RESOLUTION

Informal Negotiations: To expedite resolution of any dispute, the Parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration: If the Parties are unable to resolve a dispute through informal negotiations, the dispute will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will take place in Maricopa, Arizona. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses.

If a dispute proceeds in court, it shall be commenced in the state and federal courts located in Maricopa, Arizona.

No dispute may be brought more than one (1) year after the cause of action arose.

19. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions at any time without prior notice.

20. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND WILL ASSUME NO LIABILITY FOR ANY ERRORS, UNAUTHORIZED ACCESS TO OUR SERVERS, ANY BUGS OR VIRUSES, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF USE OF THE SERVICES.

21. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

22. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties; or (5) your violation of the rights of a third party.

23. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing performance of the Services. You are solely responsible for all data that you transmit. We shall have no liability to you for any loss or corruption of any such data.

24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications electronically. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS.

26. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. If any provision of these Legal Terms is determined to be unlawful or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
